Welcome to JobSpring. These Terms of Service ("Terms") govern your access to and use of the JobSpring website, applications, Chrome extension, and related services (collectively, the "Service"). By creating an account, installing our extension, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use JobSpring. By using the Service, you represent that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

JobSpring aggregates job listings from multiple sources, including publicly accessible employer career pages, job boards, applicant tracking systems, and listings contributed by users through our peer-to-peer system. We always endeavor to link back to the original source.

4.2 No Verification Guarantee

We do not independently verify that:

Job listings and company information displayed on JobSpring may originate from third-party sources. We do not claim ownership of third-party content and are not responsible for its accuracy or legality. If you believe any content is inaccurate, misleading, or infringes your rights, please submit a content removal request.

JobSpring operates a peer-to-peer system where job listing metadata collected by users' Chrome extensions is shared with the community. By using the extension with P2P sharing enabled:

9. User Content

You retain ownership of content you submit to the Service ("User Content"), including profile information, resumes, cover letters, and application responses. By submitting User Content, you grant JobSpring a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display it solely in connection with providing the Service.

10. Intellectual Property

The Service and its original content (excluding User Content and third-party job listings), features, and functionality are owned by JobSpring and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

The JobSpring name, logo, and all related marks are trademarks of JobSpring. You may not use them without our prior written consent.

11. Copyright and DMCA Policy

11.1 Respect for Intellectual Property

JobSpring respects the intellectual property rights of others. We aggregate publicly available job listing metadata (titles, company names, locations, and URLs) and link back to original sources. We do not claim ownership of third-party content.

11.2 DMCA Takedown Process

If you believe that content on JobSpring infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) through our Content Removal page or by email to legal@jobspring.pro. Your notice must include:

  1. Identification of the copyrighted work you claim has been infringed
  2. Identification of the material on our Service that you claim is infringing, with sufficient detail for us to locate it (URL preferred)
  3. Your contact information (name, address, phone number, email)
  4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
  5. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
  6. Your physical or electronic signature

We will respond to valid DMCA notices promptly and may remove or disable access to the allegedly infringing content.

11.3 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to legal@jobspring.pro with the information required by the DMCA. We will process counter-notices in accordance with applicable law.

11.4 Repeat Infringers

We may terminate the accounts of users who are determined to be repeat infringers.

Beyond copyright claims, you may request removal of content from JobSpring if:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBSPRING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO JOBSPRING IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

19.1 Informal Resolution

Before filing a formal dispute, you agree to try to resolve the issue informally by contacting us at legal@jobspring.pro. We will attempt to resolve disputes informally within 30 days.

19.2 Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict of law provisions. For disputes that cannot be resolved informally, you agree to submit to the exclusive jurisdiction of the courts located in the Philippines.

19.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and JobSpring regarding the Service and supersede all prior agreements.

20.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

20.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

20.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

20.5 Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet disruptions.
